Registering on BizPortal — Step by Step

BizPortal is the CIPC's online company registration platform. It combines name reservation, company registration, and automatic SARS notification into a single guided process and is designed to be completed in one session. For a straightforward PTY Ltd with a standard Memorandum of Incorporation and South African directors, it is the right place to start.

The platform is fast when everything is in order. CIPC claims same-day registration is possible and the R175 fee is among the most affordable formal business registration costs anywhere. The friction comes from being unprepared. BizPortal relies heavily on OTP verification, real-time identity checks against the Department of Home Affairs database, and contact details that must be current and accessible during the session. Missing any of these stalls the application and can force you to restart.

Who Can Use BizPortal and Who Cannot

BizPortal is only available to South African ID holders. If you have a South African ID number, use BizPortal. It is faster and more user-friendly than the alternative.

If any director is a foreign national without a South African ID, the registration must be done through CIPC eServices (eservices.cipc.co.za) instead, using a CIPC customer code. The eServices process is older, less guided, and more prone to friction, but it handles non-SA-resident directors. If your company has a mix of South African and foreign directors, you still use eServices.

BizPortal also only supports standard Memorandums of Incorporation. If you need a customised MOI with specific shareholder rights, restrictions on share transfers, or bespoke governance provisions, you need eServices or professional assistance. For most first-time PTY Ltd registrations, the standard MOI is adequate.

What to Prepare Before You Open BizPortal

The most common reason registrations stall midway is missing information. BizPortal is not designed for saving partial applications and returning later. Treat it as a process that requires all the following to be at hand before you begin.

For the company:

• Up to four proposed names in order of preference (see the CIPC Name Reservation article for guidance on choosing names that pass CIPC's similarity test)
• A short description of your intended business activity
• A physical street address for the company's registered office. PO Boxes are not accepted. If you work from home, your home address is acceptable. If you use a serviced office, confirm that the address is a physical street address, not a postal address.

For each director and shareholder:

• Full name exactly as it appears on their South African ID
• South African ID number
• Date of ID issue (check the back of the ID card)
• Marital status. If married in community of property, you will need the date of marriage and the spouse's ID number. This catches people off guard. Check the marriage certificate before you start if there is any uncertainty.
• Personal email address that can receive OTPs during the session
• Mobile number that can receive OTPs during the session
• Residential address

For payment:

• A credit or debit card enabled for 3D Secure online transactions. EFT is available but slower to confirm. Card payment is faster. The total is R225 if you are reserving a name (R175 registration plus R50 name reservation), or R125 if you are registering without a name.

The OTP Problem: The Most Common Point of Failure

BizPortal sends one-time passwords to the cellphone number and email address linked to your CIPC profile at every sensitive step. If those details are outdated, belong to someone else, or are inaccessible during the session, the process stops.

Before you start, confirm that the contact details on your existing CIPC account match a phone and email you can access right now, in real time. If you have previously registered on eServices or BizPortal with a different number or an old work email, update those details first.

Each director also receives a verification link by email. This must be completed before the registration processes. Check spam folders immediately after submitting director details. The links expire, and an expired link means the registration cannot proceed without support from CIPC.

If you are registering a company with multiple directors, coordinate with each of them before starting. Make sure every director is available to check their email and complete the verification link the same day you submit. A director who is travelling, unreachable, or has an inaccessible email address will block the registration.

The Registration Steps

Step 1: Create your account

Go to www.bizportal.gov.za. Register using your South African ID number. You will receive an OTP to verify your number and email. Set a password you will remember as your CIPC password going forward. This same login is used for annual returns, beneficial ownership declarations, and all future CIPC interactions.

Step 2: Select company type

Navigate to Company Registration and select Private Company (Pty) Ltd. Do not select the wrong entity type. Selecting a Non-Profit Company or Personal Liability Company instead of a PTY Ltd means your documents and fee will not match the registration type, resulting in rejection.

Step 3: Name reservation

Enter your name choices in order of preference. BizPortal checks availability in real time against the CIPC database. If all four names are rejected, you cannot proceed with a name and CIPC will assign a registration number as the company name. You can then apply for a name change separately once you have reserved a suitable name. The R50 name reservation fee is charged regardless of outcome.

Step 4: Director and shareholder details

Enter each director's details. BizPortal validates this information against the Department of Home Affairs database in real time. A mismatch between what you enter and what Home Affairs holds — including a name spelled differently or an incorrect date of ID issue — will cause the application to fail at this step. Double-check ID documents before entering any details.

Each director can only be associated with one unique cellphone number and one unique email address. You cannot use the same contact details for two directors. If two co-founders share a phone plan and use the same number, one of them needs to provide a different number for this process.

Step 5: Memorandum of Incorporation

BizPortal automatically applies the standard MOI for a PTY Ltd. Unless you have specific reasons to customise it, accept the standard. A customised MOI requires a separate process and significantly extends the timeline.

Step 6: Payment

Pay by card. Confirm that your card is enabled for online transactions and 3D Secure before you reach this step. A failed payment does not necessarily mean your application is cancelled, but it creates uncertainty about status. If payment fails, check your CIPC profile before attempting again to avoid double payment.

Step 7: Director verification

Each director receives a verification email from CIPC. This link must be completed before the registration is finalised. Monitor all director email inboxes, including spam, immediately after submission. Do not close BizPortal until you have confirmed all directors have received and completed their verification.

After Registration: The Next 10 Business Days

Your Company Registration Certificate (CoR 14.3) is issued by email. It typically arrives within 5 to 7 business days if all documents are in order and all director verifications are completed. Download it immediately and make certified copies. You will need this document for your business bank account application, SARS registrations, and any licence or permit applications.

The Beneficial Ownership declaration is due within 10 business days of incorporation. This is the most commonly missed post-registration obligation and it is a hard deadline. The BO declaration is filed through CIPC and requires details of all individuals who ultimately own or control the company. Missing this deadline triggers compliance penalties. Set a reminder on the day you receive your CoR 14.3, not after.

Note carefully: 10 business days is not 10 calendar days. The clock runs on working days only, but it starts from the date of incorporation shown on the certificate, not from the date you read it.

BizPortal notifies SARS automatically for income tax registration. This does not mean income tax registration is immediate or confirmed. Log into SARS eFiling within a few days of receiving your CoR 14.3 and verify that your company income tax reference number has been issued. Do not attempt VAT registration, employer registration, or any other SARS registration without confirming the income tax reference number exists first. It is the prerequisite for every other SARS registration.

What Comes After Registration

Company registration is the start of an ongoing compliance relationship with CIPC, not a once-off event. Two obligations begin from the date of registration:

Annual returns are due to CIPC on or before the anniversary of your registration date each year. The fee for a PTY Ltd is currently R100 per year. Missing the annual return triggers late penalties and eventually leads to deregistration. A deregistered company requires a reinstatement application, which costs R200 and takes additional time. CIPC sends email reminders to the contact address on your profile, but not receiving a reminder is not a valid reason to miss the deadline.

B-BBEE compliance starts to matter as soon as you begin trading with other businesses. For companies with annual turnover below R10 million, you qualify as an Exempted Micro Enterprise. You do not need a formal B-BBEE certificate. A signed affidavit from a Commissioner of Oaths serves the same purpose for most commercial relationships. CIPC facilitates this affidavit process through BizPortal.

Common Mistakes Worth Knowing About

Starting without all director contact details confirmed and accessible. The OTP verification for each director cannot be bypassed. If a director is unavailable or has an inaccessible email, the process stops.

Using a postal address as the registered office. CIPC requires a physical street address. Applications with PO Box addresses are rejected at the address validation step.

Not checking the marital status and marriage details of directors beforehand. If a director is married in community of property, the spouse's ID number and marriage date are required. This is not a detail most people have memorised.

Assuming BizPortal's SARS notification has completed the income tax registration. It initiates the process but does not guarantee immediate confirmation. Always verify on eFiling before proceeding to other registrations.

Missing the 10-business-day Beneficial Ownership deadline. Set the reminder before you close the registration certificate. Do not leave it for later.

Not downloading and saving the CoR 14.3 immediately. CIPC systems are occasionally slow or inaccessible. Download and save the certificate in at least two locations the moment it arrives.
